What you agree to when you subscribe, and what we commit to in return.
1. Payment Terms and Subscription Billing
1.1 Plans Prices, and Transaction Terms
The plan name, price, billing interval, included features, usage limits, applicable taxes, trial terms, automatic-renewal terms, and cancellation terms presented at checkout form part of the user’s agreement with BOTE LLC.
For a particular purchase or subscription, the specific transaction terms clearly displayed and affirmatively accepted immediately before purchase control over any inconsistent promotional or general service description appearing elsewhere on the website. The Terms of Service, Privacy Policy, Subscription and Refund Policy, AI-Assisted Services Terms, and all rights provided by applicable law remain in effect.
The checkout page will clearly identify whether the purchase is a one-time purchase or an automatically renewing subscription, the amount and frequency of recurring charges, the applicable trial or promotional period, and the available cancellation method.
1.2 Legal-Policy Checkbox and User Agreement
When a user checks the legal-policy checkbox during account registration, subscription purchase, checkout, or activation of HOPE, the user confirms that the user was provided access to and agrees to be bound by the applicable Terms of Service, Subscription and Refund Policy, and AI-Assisted Services Terms. The user also acknowledges receipt of and access to the Privacy Policy.
Each policy title displayed with the checkbox will provide a direct link to the applicable policy. The versions presented to the user and in effect at the time of acceptance apply to that registration, purchase, subscription, or service activation, subject to applicable law and any legally required notice of later changes.
1.3 ESL Lessons and HOPE Usage
The Services include free educational resources, paid ESL lesson access or membership features as displayed on the website, and separate HOPE usage-minute plans. Grammar Basics, books made available as free resources, songs that link to third-party services, and other content specifically identified as free may be used without payment. The exact access level for lessons and member features is displayed on the applicable page and at checkout.
Purchasing an ESL Lessons subscription does not include unlimited HOPE usage or any quantity of HOPE minutes beyond trial, promotional, or included minutes expressly identified at checkout. HOPE minutes are ordinarily purchased or subscribed to separately. Books and YouTube song links that are identified as free resources remain free resources and are not sold as part of the membership fee.
1.4 Recurring Charges and Authorization
When you purchase a recurring plan, you authorize BOTE LLC and its payment processor to charge the payment method you provide at the stated interval until you cancel. The amount and frequency of recurring charges will be displayed before you complete the purchase.
BOTE LLC will not impose a new recurring charge without the authorization required by applicable law. You are responsible for reviewing the checkout screen and correcting any error before submitting payment.
1.5 Payment Processors
Payments may be processed by third-party payment providers such as Stripe, PayPal, an app store, or another provider identified at checkout. The payment provider's terms and privacy policy also apply. BOTE LLC generally does not receive or store your complete payment-card number.
1.6 Taxes and Currency
Prices are displayed in the currency shown at checkout. Applicable sales tax, VAT, GST, digital-services tax, or similar charges may be added, included, or collected as required by law. The final amount charged will be shown before purchase whenever required.
1.7 Failed Payments
If a payment is declined, reversed, disputed, expired, or otherwise unsuccessful, BOTE LLC may retry the payment where permitted, request an updated payment method, suspend paid access, stop renewal, or terminate the affected plan. BOTE LLC will not charge an undisclosed late fee.
1.8 Price and Plan Changes
BOTE LLC may change future prices, included features, usage limits, or plan structures. A change will not retroactively alter a completed one-time purchase. For an active recurring plan, BOTE LLC will provide advance notice required by applicable law before a material price increase or material reduction in paid benefits.
1.9 Account and Purchase Responsibility
Provide accurate account and billing information.
Maintain reasonable security over your password, email account, and payment method.
Do not share a paid account outside the permitted household, classroom, school, or organization license shown at purchase.
Promptly report a charge or account use you believe is unauthorized.
Pay internet, mobile-data, device, bank, foreign-exchange, and payment-provider charges that are not imposed by BOTE LLC.
2. Cancellation, Refunds, and Billing Disputes
2.1 How to Cancel
You may cancel a recurring subscription at any time before the next renewal charge by using any cancellation method currently made available for your plan. Available methods may include:
Account cancellation: Log in and open Account Settings or Subscription Management.
PayPal cancellation: If PayPal controls the recurring payment, use PayPal's Manage Automatic Payments function.
App-store cancellation: If an app store controls billing, cancel through that app store.
Support request: Email support@learnEnglishAbc.com and identify the account, plan, and cancellation request.
BOTE LLC does not require 30 days' advance notice. A valid cancellation submitted before the next renewal charge stops future renewal. Access normally continues through the end of the already-paid billing period unless the user requests immediate closure or applicable law requires a different result.
2.2 Confirmation
An online cancellation will generate or send confirmation. An emailed cancellation request is considered received when it reaches BOTE LLC’s designated support system. If confirmation is not received within 72 hours, contact support again and retain a copy of the original request.
2.3 Voluntary 14-Day Initial Subscription Refund
Unless a different promotion is clearly disclosed at checkout, BOTE LLC offers a voluntary refund request period for the first paid charge of a new recurring ESL Lessons subscription. The request must be submitted within 14 calendar days after the initial charge.
This voluntary policy does not require BOTE LLC to refund a renewal charge, a repeat or abusive trial, a fraudulent transaction, a separately purchased HOPE-minute package that has been materially consumed, or a purchase made through a third-party store whose refund process controls. BOTE LLC may nevertheless issue a full or partial refund as a courtesy. Mandatory legal rights always remain available.
2.4 HOPE-Minute Refunds
Unused HOPE minutes may be refundable during an applicable statutory or clearly advertised refund period. Minutes already used are ordinarily non-refundable, except for verified billing error, material service failure, unauthorized purchase, or another remedy required by law. If a BOTE-controlled outage incorrectly consumes minutes, contact support promptly so the usage record can be reviewed and, where appropriate, corrected or credited.
2.5 Renewals and Partial Billing Periods
Except where law requires otherwise, cancellation after a renewal charge does not automatically produce a prorated refund for the remaining billing period. BOTE LLC will correct duplicate charges, incorrect amounts, and other verified billing errors.
2.6 EU, UK, Australian, and Other Mandatory Rights
Consumers in some jurisdictions may have non-waivable withdrawal, cancellation, quality, refund, repair, replacement, or other statutory rights. For digital content or services supplied immediately, the law may permit performance to begin during a withdrawal period only after appropriate consent and acknowledgment. Any statutory right applies according to the law governing that consumer and transaction.
Australian consumers retain all consumer guarantees and remedies that cannot be excluded under the Australian Consumer Law. This policy does not replace or restrict those guarantees.
2.7 Refund Processing
Approved refunds are normally returned to the original payment method. Processing time depends on the payment provider and financial institution. BOTE LLC is not responsible for a bank's posting delay after BOTE LLC has released the refund.
2.8 Billing Questions and Chargebacks
Contact support@learnEnglishAbc.com before filing a chargeback when reasonably possible so BOTE LLC can investigate. Nothing in this request limits your right to contact your payment provider or exercise a statutory remedy. Fraudulent or abusive chargebacks may result in account suspension and collection of amounts lawfully owed.
3. HOPE Minutes, Usage Measurement, and Rollover
3.1 Separate Usage Balance
HOPE usage may be measured in minutes or another unit displayed in the user interface. Unless a plan expressly states otherwise, HOPE minutes are separate from the ESL Lessons subscription and have no cash value.
3.2 Measuring Usage
The HOPE interface will display the applicable balance and session timer. The timer may measure the active session from connection or activation until the session is closed, disconnected, completed, or automatically timed out. The interface and checkout description in effect at the time of purchase explain the applicable measurement method.
Minor differences may result from network latency, speech processing, reconnection attempts, or rounding. BOTE LLC may correct clear technical or accounting errors. Users must close each session when finished and must not leave an active session unattended.
3.3 Rollover
Where a qualifying HOPE plan includes rollover, unused eligible minutes roll forward while that plan remains continuously active and in good standing. Promotional, trial, bonus, refunded, or replacement minutes may have different expiration rules. Any expiration or post-cancellation use period must be disclosed at purchase or in the account dashboard.
3.4 Cancellation or Expiration of a HOPE Plan
When a recurring HOPE plan ends, access to unused rollover minutes may end at the close of the paid billing period unless the purchase terms expressly provide a longer period. A separate one-time top-up package is governed by the expiration terms shown when purchased.
3.5 No Transfer or Resale
HOPE minutes may not be sold, transferred, pooled, exchanged for cash, or used by unauthorized persons unless BOTE LLC offers a family, classroom, school, organization, reseller, or enterprise plan that expressly permits shared use.
4. Free Services, Trials, and Promotions
4.1 Free Resources
Grammar Basics, books identified as free resources, songs that link users to YouTube or another third-party service, and other content specifically identified as free are available without payment. Song links open third-party content; LearnEnglishAbc.com does not reproduce or sell the lyrics merely by linking to a third-party video.
4.2 Book Download Limits
At the time of this policy, guest users and users in the 14-day trial may download one book through LearnEnglishAbc.com, and paid members may download up to four books per month. These are LearnEnglishAbc.com service-use limits. They do not make public-domain books paid content, restrict lawful use obtained from the original public-domain source, or transfer copyright ownership to BOTE LLC. If the website later displays a different download limit, the clearly disclosed current limit controls prospectively.
4.3 14-Day Trial
The 14-day trial provides the lesson access and features clearly identified on the trial enrollment page, including access to the ESL lessons stated for the trial. Unless expressly included, HOPE usage is separate. The enrollment page will state whether a payment method is required. A trial will convert to a paid plan only when the conversion price, date, billing frequency, cancellation method, and required authorization are disclosed before enrollment.
4.4 Promotions and Trial Abuse
BOTE LLC may offer limited promotions or one-time HOPE trials and may limit one trial per person, household, payment method, device, or account. BOTE LLC may refuse or terminate repeated, automated, fraudulent, or abusive trial use. Promotional, trial, bonus, or replacement benefits may have separate expiration or eligibility rules disclosed when offered.
7. HOPE AI Tutor and AI-Assisted Services
7.1 AI Disclosure
HOPE is an artificial-intelligence-powered English-learning assistant. HOPE is not a human teacher, counselor, attorney, medical professional, financial adviser, immigration adviser, or emergency service. Users are informed that they are interacting with an AI system.
7.2 Third-Party Models and Providers
BOTE LLC may use or switch among third-party language models, speech services, translation services, avatar systems, cloud providers, and other APIs. A provider may include companies such as OpenAI, Anthropic, Google, D-ID, or other vendors identified in BOTE LLC privacy disclosures when required. BOTE LLC does not resell ownership of those third-party services; it provides a BOTE LLC learning experience that integrates licensed or authorized technology.
7.3 AI Output Can Be Wrong
AI output is generated automatically and probabilistically. It may be inaccurate, incomplete, outdated, biased, repetitive, offensive, mistranslated, or unsuitable. Speech recognition may misinterpret accents, names, numbers, background noise, or pronunciation. Grammar, vocabulary, pronunciation, translation, and learning recommendations are educational estimates, not guaranteed evaluations.
7.4 Educational Use Only
HOPE is intended for general English-learning and practice. Do not rely on HOPE as the sole source for a legal, medical, mental-health, financial, tax, immigration, employment, safety, emergency, academic-admission, certification, or other consequential decision. Verify important information with an appropriate qualified person or official source.
7.5 No Authority to Bind BOTE LLC
HOPE and other automated systems are not authorized to:
Enter into, change, or terminate a contract on behalf of BOTE LLC.
Change a published price, refund policy, subscription term, usage balance, or legal notice.
Make a warranty, guarantee, admission, settlement, or binding promise.
Approve a refund, payment, credential, certification, school admission, employment, immigration result, or official status.
Waive these Terms or speak as BOTE LLC's attorney, officer, or authorized legal representative.
Only the published checkout terms, these written policies, and a written communication from an authorized BOTE LLC representative can create an official BOTE LLC commitment, subject to mandatory law.
7.6 Restricted Actions
Unless a feature expressly describes the action and obtains any required confirmation, HOPE is not authorized to access outside accounts, send messages to third parties, make purchases, transfer money, delete external data, publish content externally, install software, change production systems, or take other actions outside the LearnEnglishAbc.com environment.
7.7 Safety, Monitoring, and Human Review
BOTE LLC may use automated filters, logging, rate limits, access controls, abuse detection, and human review to protect users, BOTE LLC, providers, and third parties. BOTE LLC may block or terminate a session, feature, or account when reasonably necessary to address suspected misuse, security threats, legal requirements, harmful content, or risks to users or third parties.
7.8 Prompt Injection and Malicious Instructions
Content obtained from a webpage, document, link, user upload, email, database, or third party may contain malicious or misleading instructions intended to redirect an AI system. Users must not attempt to cause HOPE or another BOTE LLC system to reveal secrets, bypass safeguards, access unauthorized systems, or perform prohibited actions.
7.9 No Guaranteed Learning Outcome
HOPE may support learning, practice, and confidence, but BOTE LLC does not guarantee a particular proficiency level, exam score, job result, school result, pronunciation score, completion time, or other educational outcome.
7.10 Similar or Non-Unique Output
AI output may be the same as or similar to output provided to another user. BOTE LLC does not guarantee that output is unique, copyrightable, non-infringing, or suitable for commercial publication.
7.11 Emergency and Crisis Situations
HOPE is not an emergency or crisis-response service. Any person experiencing a mental-health emergency must immediately contact local emergency services or an appropriate qualified professional or crisis resource. Any safety information provided by HOPE is for general informational purposes only and does not create a professional, therapeutic, medical, or fiduciary relationship.
8. Acceptable Use and Account Security
8.1 Permitted Use
The Services may be used for lawful personal education and for an expressly authorized classroom, school, employer, nonprofit, library, reseller, or organizational purpose under the applicable plan.
8.2 Prohibited Conduct
A user may not use or attempt to use the Services to:
Violate law, regulation, court order, sanctions, export controls, or another person's rights.
Access an account, system, network, API, server, database, file, model, or data without authorization.
Create, distribute, or assist malware, ransomware, credential theft, phishing, fraud, destructive code, or cyberattacks.
Bypass safety restrictions, rate limits, authentication, payment controls, content limits, or technical safeguards.
Probe, scan, scrape, crawl, extract, copy, download, or index the Services at scale without written permission.
Use the Services or content to train, benchmark, fine-tune, or develop a competing model, tutor, dataset, product, or commercial service without written permission.
Reverse engineer, decompile, disassemble, discover source code, or interfere with normal operation except to the extent a legal right cannot be restricted.
Harass, threaten, exploit, defame, impersonate, discriminate against, or harm another person.
Generate or distribute illegal sexual content, child sexual abuse material, non-consensual intimate content, or content that facilitates exploitation.
Submit content that infringes intellectual-property, privacy, publicity, confidentiality, contractual, or other rights.
Misrepresent AI output as an official record, professional opinion, certification, or statement by BOTE LLC.
Resell, sublicense, transfer, or share account access or HOPE minutes except under an authorized partner or organization agreement.
Use automated means to create accounts, consume trials, manipulate balances, falsify usage, or avoid payment.
8.3 Account Security
Users are responsible for activity under their credentials until unauthorized activity is reported, except to the extent applicable law provides otherwise. BOTE LLC may require password changes, multi-factor authentication, identity verification, or other protective steps.
8.4 Suspension and Termination
BOTE LLC may limit, suspend, or terminate access for non-payment, fraud, security threats, serious or repeated violations, unlawful conduct, provider restrictions, or risk to users or third parties. Where appropriate and legally required, BOTE LLC will provide notice and an opportunity to appeal or correct the issue.
10. Affiliate, Advertising, and Sponsorship Disclosure
10.1 Affiliate Links
Some links may be affiliate links. If a user clicks an identified affiliate link and completes a qualifying transaction, BOTE LLC may receive compensation at no additional charge to the user. Compensation does not change the user's responsibility to evaluate the third-party product or service.
10.2 Advertising
Free portions of the Services may display advertisements supplied by third parties. An advertisement is not necessarily selected, created, approved, warranted, or endorsed by BOTE LLC. Advertising may be contextual or personalized according to the user's consent choices and applicable law.
10.3 Sponsored Content and Endorsements
Material sponsorships, paid placements, gifted products, and affiliate relationships will be disclosed clearly and close to the relevant recommendation where required. Testimonials reflect the experience of the person providing them and do not guarantee that another user will obtain the same result.
11. Intellectual Property and Copyright Complaints
11.1 Ownership
The LearnEnglishAbc.com website, original lessons, original text, selection and arrangement of content, graphics, illustrations, worksheets, software, databases, logos, trademarks, and other BOTE LLC-created materials are owned by BOTE LLC or its licensors and are protected by applicable intellectual-property laws. Public-domain books and other third-party materials remain subject to their own copyright status, source terms, licenses, and attribution requirements. BOTE LLC does not claim ownership of underlying public-domain text merely because it is made available through the Services.
11.2 Limited User License
Subject to these Terms and payment of applicable fees, BOTE LLC grants the user a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Services and permitted downloads for personal, non-commercial education or another purpose expressly allowed by the purchased plan.
11.3 Prohibited Copying and Commercial Use
Unless BOTE LLC gives written permission, a user may not:
Reproduce, republish, sell, license, distribute, publicly display, or create a commercial derivative product from paid content.
Share subscription-only materials, account access, saved lessons, or copyrighted downloads with unauthorized users. Public-domain books are governed by their public-domain status and any applicable source or trademark terms.
Remove copyright, trademark, attribution, watermark, access-control, or rights-management information.
Use BOTE LLC's names, logos, mascots, trade dress, or confusingly similar branding.
Copy or extract substantial portions of the website or database through automated or manual methods.
Use BOTE LLC content, user data, or outputs to develop or train a competing product or dataset.
11.4 Public-Domain Books, Project Gutenberg, and Free Resources
Public webpages and free resources may be shared by linking to the original LearnEnglishAbc.com page. Books identified as public-domain resources may also be used according to the copyright status of the particular work and any applicable source or trademark terms. LearnEnglishAbc.com may obtain public-domain books from Project Gutenberg or other lawful public-domain or licensed sources. BOTE LLC does not charge a copyright royalty for public-domain book text. Download limits imposed by LearnEnglishAbc.com are service-use limits and do not convert public-domain books into paid copyrighted content.
11.5 AI Output Rights
To the extent BOTE LLC has rights to grant and subject to third-party-provider terms, a user may use ordinary HOPE output for the user's personal learning. BOTE LLC does not represent that AI output is exclusive, copyrightable, non-infringing, or cleared for commercial publication. Paid course content, protected books, logos, and other BOTE LLC materials remain subject to their separate restrictions even when referenced in an AI interaction.
11.6 Copyright Complaints
Any person who believes that content available through the Services infringes a copyright may contact BOTE LLC at support@learnEnglishAbc.com.
11.7 Copyright and DMCA Notice Procedure
A copyright or DMCA notice should be sent to support@learnEnglishAbc.com with the subject line "Copyright/DMCA Notice." The notice should identify the copyrighted work claimed to be infringed; identify the material to be removed or disabled and provide information reasonably sufficient to locate it; provide the complaining party's name and contact information; include a good-faith statement that the disputed use is not authorized by the copyright owner, its agent, or law; include a statement that the information is accurate and, under penalty of perjury, that the sender is authorized to act for the copyright owner; and include a physical or electronic signature. BOTE LLC may request additional information reasonably necessary to evaluate the notice.
11.8 DMCA Counter-Notification
A person whose material was removed or disabled in response to a DMCA notice may send a counter-notification to support@learnEnglishAbc.com with the subject line "DMCA Counter-Notification." The counter-notification should satisfy the requirements of applicable law, including identification of the removed material and its former location, the required good-faith statement, contact information, consent to the applicable federal court jurisdiction where required, and a physical or electronic signature. BOTE LLC may restore material when permitted by law and may forward notices and counter-notices to the affected parties.
12. User Content
12.1 Definition and Ownership
"User Content" includes comments, writing samples, reviews, testimonials, profile information, uploads, saved materials, prompts, and other content a user submits. The user retains ownership of User Content, subject to the licenses necessary to provide the Services.
12.2 Operational License
By submitting User Content, the user grants BOTE LLC a worldwide, non-exclusive, royalty-free license to host, store, reproduce, format, transmit, display, and process that content only as reasonably necessary to operate, secure, support, and improve the requested Services, comply with law, and enforce these Terms.
BOTE LLC will not use a private HOPE conversation as a public testimonial or advertisement without separate permission. A public review or comment may remain visible until removed, subject to backups, legal retention, and the rights of other users who interacted with it.
12.3 User Promises
The user represents that the user has the rights and permissions needed to submit the content and that the content and its permitted use will not violate law, confidentiality, privacy, intellectual property, or another person's rights.
12.4 Moderation
BOTE LLC may review, restrict, remove, preserve, or disclose User Content when reasonably necessary to enforce these Terms, protect safety or systems, respond to a complaint, or comply with law. BOTE LLC does not undertake a general duty to monitor every submission.
14. Accessibility Statement
14.1 Commitment
BOTE LLC is committed to improving access to LearnEnglishAbc.com for people with disabilities. BOTE LLC's design goal is substantial conformance with Web Content Accessibility Guidelines (WCAG) 2.2 Level AA where reasonably achievable and appropriate to the technology.
14.2 Ongoing Work
Because the website includes legacy content, third-party tools, AI features, audio, video, books, and changing interfaces, some content may not yet meet every accessibility target. BOTE LLC evaluates reported barriers and works to provide reasonable improvements or alternative access.
14.3 Requesting Assistance
A user who has difficulty accessing content or requires an alternative format may email support@learnEnglishAbc.com with the subject line “Accessibility Support Request.” The message must identify the affected page or feature, the device or assistive technology being used, and the assistance requested. BOTE LLC will make reasonable efforts to respond and provide an effective alternative when feasible.
14.4 Third-Party Content
Some accessibility limitations may arise from third-party content or technology outside BOTE LLC's direct control. BOTE LLC welcomes reports and will work with providers or offer an alternative where reasonably possible.
15. Third-Party Services, Links, and Technology Providers
15.1 External Links and Embedded Services
The Services may link to or embed websites, videos, payment systems, advertisements, books, social media, AI systems, or other services operated by third parties. Their terms, privacy practices, security, availability, and content apply to the user's interaction with them.
15.2 No General Endorsement or Control
A link, integration, API connection, advertisement, or reference does not by itself mean BOTE LLC owns, controls, endorses, guarantees, or accepts responsibility for the third party. BOTE LLC is not responsible for a third party's independent conduct except to the extent responsibility cannot lawfully be excluded.
15.3 Changes and Outages
Third-party providers may change models, prices, features, restrictions, data locations, or availability. BOTE LLC may replace, suspend, or discontinue an integration when reasonably necessary for security, provider availability, technical operation, cost, legal compliance, or service improvement.
15.4 Partners and Resellers
Referral partners, authorized resellers, implementation providers, regional partners, tutors, affiliates, and technology-integration partners are independent parties unless a written agreement states otherwise. They may not alter these user terms, waive a BOTE LLC policy, or make a warranty, refund promise, legal admission, or binding commitment on BOTE LLC's behalf without written authority.
16. Educational Disclaimer, Warranties, and Service Availability
16.1 Educational Service
The Services provide educational resources and language practice. They are not an accredited school unless a specific program expressly says otherwise. Completion does not guarantee credit, a diploma, professional qualification, immigration benefit, job, school admission, test score, or language level.
16.2 As-Is and As-Available
To the maximum extent permitted by law, the Services, content, downloads, HOPE output, and third-party integrations are provided "as is" and "as available." BOTE LLC disclaims express and implied warranties, including merchantability, fitness for a particular purpose, non-infringement, accuracy, quiet enjoyment, compatibility, availability, and security, except where a warranty cannot legally be excluded.
16.3 No Error-Free Service
BOTE LLC does not guarantee uninterrupted operation, a particular response time, compatibility with every device or network, permanent availability of any book or feature, error-free content, or prevention of every malicious act, data loss, outage, or unauthorized access.
16.4 User's Internet and Device
AI voice and avatar performance depends partly on the user's device, browser, microphone, network, bandwidth, permissions, and environment. BOTE LLC is not responsible for third-party internet, telecom, device, browser, or app-store failures.
16.5 Force Majeure
BOTE LLC is not responsible for delay or failure caused by events beyond its reasonable control, including natural disaster, war, civil disorder, labor disruption, epidemic, government action, utility or internet failure, cyberattack, provider outage, cloud failure, or interruption of a required third-party service, subject to non-waivable law.
17. Limitation of Liability and Indemnification
17.1 Excluded Damages
To the maximum extent permitted by law, BOTE LLC and its owners, managers, employees, contractors, licensors, providers, affiliates, and authorized representatives will not be liable for indirect, incidental, special, exemplary, punitive, or consequential damages, or for loss of profits, revenue, opportunity, goodwill, anticipated savings, data, or business interruption, arising from or related to the Services.
17.2 Liability Cap
To the maximum extent permitted by law, BOTE LLC's total aggregate liability arising from or related to the Services will not exceed the greater of: (a) the amount the claimant paid directly to BOTE LLC for the affected Service during the 12 months before the event giving rise to the claim; or (b) $100. This limitation applies regardless of the legal theory and even if a remedy fails of its essential purpose.
17.3 Exceptions
Nothing in these Terms excludes or limits liability for fraud, willful misconduct, gross negligence where it cannot be limited, death or personal injury caused by negligence where it cannot be limited, violation of non-waivable privacy or consumer rights, or another liability that applicable law does not permit BOTE LLC to exclude or limit.
17.4 Indemnification for Misuse
To the extent permitted by law, a user agrees to defend, indemnify, and hold harmless BOTE LLC and its covered persons from a third-party claim, damage, judgment, penalty, and reasonable legal cost arising from the user's unlawful use, prohibited conduct, User Content, infringement of another person's rights, unauthorized resale, or material violation of these Terms. This obligation does not apply to the extent the claim was caused by BOTE LLC's own unlawful conduct, gross negligence, or willful misconduct.
18. Governing Law, Jurisdiction, and Dispute Resolution

These Terms and disputes arising from or related to LearnEnglishAbc.com or the Services are governed by the laws of the State of Nevada, United States, without regard to conflict-of-law rules.

19.3 Prospective Effect
